Contract Lifecycle Platform for a Romanian Software Company
Designed and built a clickable contract lifecycle system for a Cluj-Napoca software company selling to EU and US customers: contract requests from CRM deals, a board of every contract in negotiation, a contract workspace with versions, clauses and signature level, and approvals routed by a fixed matrix of discount, liability, payment and data protection rules.
Most of our work is under NDA. Per agreement, we can share the work but not the company details - all names and identifying information shown here have been changed.
Dashboard, request queue, contracts board and table, the contract workspace with 7 tabs, and My approvals with its approval detail drawer. Every contract on the board opens its own workspace.
Discounts above 20% go to the Sales VP and above 35% to the CFO, payment terms over 60 days to VP Finance, liability caps above 12 months' fees to the General Counsel, and any change to an Art. 28(3) DPA element to privacy counsel.
Each clause carries its standard text, approved fallbacks with when to use them, playbook guidance and the rule a change triggers. Romanian customers get an express acceptance block for unusual standard terms.
22 contracts in flight worth €2.32M across 4 stages, 18 contract requests, 27 customer entities in 16 countries and 15 staff users, in EUR, USD and RON.
Brădet's four-person legal team ran about 1,900 customer agreements from email, a shared drive and a renewal spreadsheet nobody trusted. Sales asked for contracts in Slack with half the deal details, lawyers copied the last similar agreement by hand, and discount or liability approvals happened in chat threads nobody could find later. Median time from request to signature was 19 working days, two large customers auto-renewed on terms Brădet meant to reprice, and a new US sub-processor took three weeks of work to see which customers needed advance notice.
Hotar takes a customer contract from request to signature and renewal. A sales rep requests it from a CRM deal, legal drafts from approved templates and clause options, both sides negotiate in tracked versions, each deviation routes to the right approver from a fixed matrix, and the contract is signed at the eIDAS level its policy requires.
Brădet sells into Romania, the rest of the EU and the US, so every contract is shaped by where the customer is, which paper it is on, what sales has promised and how the customer's personal data will be processed.
Discounts, liability caps, payment terms and data processing changes each need a different approver with a different authority band. Decisions made in chat could not show who approved what, on which version, or whether the clause changed afterwards.
eIDAS recognises simple, advanced and qualified electronic signatures, while US customers sign under the ESIGN Act and UETA. Under the Romanian Civil Code, unusual standard clauses such as liability limits, tacit renewal and choice of law generally need express written acceptance.
Almost every customer uploads personal data, so each contract needs a DPA that covers every GDPR Art. 28(3) element, a sub-processor authorisation, and for transfers outside the EEA either the 2021 SCCs or the EU-US Data Privacy Framework with a fallback module.
Deals slipped past quarter end waiting on legal, and after signature the 90-day renewal notice window was tracked in a spreadsheet. Nobody could see which contracts were stuck, whose turn it was, or which close dates were at risk.
Mapped 13 user roles, 39 screens across staff, the customer negotiation room, a public sub-processor page and a Word add-in, and the data model for requests, contracts, versions, deviations, templates, clauses, approval rules, envelopes, DPAs, sub-processors and transfers. Wrote down the rules the design follows: eIDAS signature levels, ESIGN and UETA, Romanian express acceptance, GDPR Art. 28, the 2021 SCCs, the Data Privacy Framework, Law 190/2018 and US state privacy addenda.
Built 5 key screens on a production workspace kit: the dashboard with KPIs, contracts by stage, a role-based My work list and quarter-end risk table, the request queue with quick view and intake, the contracts board with drag between stages, the contract workspace with versions, clause panel, approvals, privacy, signature and activity tabs, and My approvals with delegation and a word-level redline. All actions run on local state.
The draft wizard, redline compare, signature tracker, searchable repository with AI metadata extraction from executed PDFs and human review, obligations, renewals and the privacy registers. Integration with Salesforce or HubSpot, DocuSign or Adobe Acrobat Sign, a Romanian qualified trust service provider for QES, Microsoft 365 for the Word add-in, VIES and ONRC checks, single sign-on, the customer negotiation room and an append-only audit log with sealed, hashed PDFs.
Each change from the standard clause is listed with its standard and requested value, the version it first appeared in and the approver the matrix sends it to. Send for signature stays disabled until every approval is complete.
The approval detail shows the rule and threshold, a word-level redline against the standard clause, the deal value and close date, counsel's note and how this customer was treated before. Rejecting needs a reason, and a decision on an older version is marked stale if the clause changed.
Every contract card shows value, version, deviation count, ball in court and days in stage, amber after 5 working days and red after 10. The dashboard puts contracts with a close date before quarter end on one list with their blocker.
When privacy counsel is out of office, her approvals go to a named delegate for a date range, a banner says so, and each decision is recorded as acting for her with the approver's authority band at the time.

Designed and built a clickable contract review tool for the in-house legal team of a Lusaka copper miner: the AI extracts each clause of a third-party contract, compares it with the company playbook, flags risks with a plain explanation and drafts redlines, while a lawyer decides every flag and only a lawyer with the right authority can sign off.

Designed and built a clickable e-discovery platform for a Chicago litigation support firm that hosts and reviews data for US law firms: a dashboard across every matter, each matter's path from collection to production, Boolean, proximity and concept search, and a review pane where contract reviewers code documents with the privilege basis recorded at the moment of the call.
