Capstan - Fund Investor Portal and GP Console with Wire-Fraud Controls

Investor Portal for a New York Private Equity Manager

Designed and built a clickable GP and administrator console for a New York private equity manager with a Delaware fund and a Cayman feeder: capital calls and distributions followed to settlement, an investor register with KYC and tax form status for each LP, and bank detail changes that need a signature, a callback and a second approver before any money moves.

Impact

5 Screens
Clickable end to end

Dashboard, calls and distributions, event detail for calls and distributions, the investor register with its quick view panel, and the bank detail change queue with its review panel.

4 Checks
Before a bank change counts

Signatory e-signature, a callback to a number on file before the request, an account ownership check and a second approver who is neither the requester nor the callback taker. Payments to a new LP account then wait 5 business days.

No Wires
Ever sent by email

Wire instructions come from the vehicle's approved receiving account and appear only inside the LP portal after a fresh MFA check. Every call shows how long those details have been unchanged.

34 LPs
Realistic demo data

34 of the 310 LPs, from 17 countries, across 3 vehicles in 2 funds, with 16 capital events, 10 bank change requests and 7 staff users from the GP and the fund administrator.

The Problem

Ellery Bight sent capital call notices as PDF email attachments from a spreadsheet mail merge. Investor relations spent about two weeks each quarter resending K-1s and confirming unfunded commitments, statements went to distribution lists nobody had checked since Fund II closed, an LP's accountant received a spoofed email with new wire instructions for a USD 3.2 million call, and 40 subscription packets went back and forth by courier and email for six weeks at the Fund III final close.

Our Solution

Capstan puts every notice, document and signature behind a login with multi-factor authentication. The GP and its fund administrator share one console to build and approve capital calls and distributions, follow each one to settlement, manage the investor register and control every change to bank details with verification and four-eyes approval.

The Challenge: Moving Investor Money Safely

Ellery Bight manages a USD 520 million harvesting fund and a USD 850 million fund still investing, with about 310 LPs in 24 countries. An external administrator keeps the books, runs AML and KYC and processes cash, while the GP owns the relationship, so every call and payment passes between two firms and hundreds of investors.

Capital Calls Are a Fraud Target

Business email compromise that targets capital calls is a well-known risk. As long as notices and wire instructions travel by email, a spoofed message with new bank details looks like any other notice, and only a phone call caught the USD 3.2 million attempt.

Two Vehicles, Different Rules

Fund III has a Delaware limited partnership for US taxable investors and a Cayman exempted limited partnership feeder for non-US and US tax-exempt investors. Each has its own LPA terms, receiving account, tax documents and, for the feeder, CIMA registration under the Private Funds Act.

Every Investor Must Qualify

Interests are offered under Regulation D and Fund III relies on section 3(c)(7), so every investor must be both an accredited investor and a qualified purchaser. W-9, W-8 and CRS self-certification forms have to stay valid, and the administrator must clear AML and KYC first.

No Record of Who Saw What

Statements and notices went out as attachments, so the GP could not show an LP or its auditors which contact had opened which document, or which LPs had not yet seen a call notice due in a few days.

Our Approach: From Fund Terms to a Clickable Console

01

Spec and Rules Research

Mapped 9 user roles across the GP, the administrator and LP contacts, 40 screens (28 in the console and 12 in the LP portal) and the data model for funds, vehicles, commitments, capital events, allocation lines, receipts, versioned bank accounts, bank change requests, documents, tax forms and an append-only audit log. Wrote down the rules the design follows: Delaware and Cayman partnership law, the Cayman Private Funds Act, Regulation D and section 3(c)(7), FATCA and CRS, K-1, K-3 and PFIC statements, ILPA templates, ESIGN and UETA, GDPR, the Cayman Data Protection Act and Regulation S-P.

02

Clickable Demo on a Production UI Kit

Built 5 key console screens on a production dashboard kit: the dashboard with 5 fund KPIs, approvals, open events, onboarding, notice engagement and expiring tax forms, calls and distributions with tabs and filters, event detail with allocation lines, record receipt and payment readiness, the investor register with filters and a quick view, and the bank change queue with callback, approve, reject and freeze payments. A fund switcher filters the views, and every action runs on local state.

03

What a Production Build Adds

Integration with the administrator's fund accounting system (such as FIS Investran, Allvue or eFront) as the system of record, DocuSign, Onfido with ComplyAdvantage or World-Check, Comply Exchange tax form validation, Plaid account checks, Okta or Auth0 SSO with passkeys, Postmark and Twilio alerts, and ISO 20022 payment files. Plus the call and distribution builders, onboarding and subscription wizard, transfers, documents, reporting, the hash-chained audit log and the whole mobile-first LP portal.

Why It Works: Controls Built Into Every Payment

Four Eyes on Every Capital Event

Every call and distribution needs the fund controller and one GP partner to approve, and the preparer cannot approve their own work. The event page lists the preparer and each approval with its time, so anyone can see who signed off.

Bank Changes Show Their Risk

The review panel puts old and new accounts side by side, masked to the last 4 digits, with the channel, device and IP. Risk signals such as a new country, a request within 10 days of a distribution or a recent email change are flagged, and payments can be frozen in one click.

Distributions Hold Until Ready

Each LP line shows gross, withholding and net, with a payment readiness check. An LP with an unverified account, a pending bank change, an open cooling-off period or a missing tax form is held, so the money waits until the issue is resolved.

Every Notice Is Followed

Each allocation line shows the amount due, cash received, whether the bank reference matched, the variance and when the notice was first viewed. The dashboard lists LPs who have not opened the latest call after 3 days, so IR can follow up before the due date.
